2.2 Client Responsibilities

Clients are responsible for:

Providing accurate and timely information necessary for the completion of services.
Ensuring all content provided, including text, images, and other materials, is legally owned or appropriately licensed.

3. Pricing & Payments

3.1 Pricing

All prices for services are outlined in the proposal or contract and are subject to change without notice for future projects. Taxes, if applicable, will be included in the final invoice.

3.2 Payment Terms

A 50% deposit is required before commencing work.
The remaining balance is due upon project completion or as outlined in the contract.
Payments can be made via Stripe, PayPal, or bank transfer.

3.3 Late Payments

Failure to pay on time may result in delays or suspension of services. A late fee may apply to overdue payments.

4. Intellectual Property

4.1 Ownership

For Websites and Designs: Ownership of completed projects will be transferred to the client upon full payment.
Pre-Made Content: Any pre-designed assets or templates remain the property of Prime Galaxy unless otherwise stated.
Prime Galaxy does not sell, host, or distribute unauthorized third-party copyrighted content. All deliverables are original or appropriately licensed.

4.2 Use of Content

Clients grant Prime Galaxy a non-exclusive right to display completed projects for promotional purposes, including portfolios and case studies, unless otherwise agreed in writing.

5. Refund & Cancellation Policy

5.1 Refund Policy

Refunds are only applicable for cancellations made before project initiation or as otherwise specified in the applicable contract.
No refunds will be provided for services already delivered or partially completed.

5.2 Cancellation Policy

Clients may cancel projects at any time by providing written notice. Cancellation fees may apply based on the progress of the work.

6. Liability

6.1 Limitation of Liability

Prime Galaxy is not liable for:

Losses incurred due to delays caused by client inaction or lack of response.
Issues arising from third-party services or platforms, including hosting providers and payment gateways.
Indirect, incidental, or consequential damages, including loss of revenue or data.

6.2 Warranties

All services are provided “as is” without any express or implied warranties, except where otherwise required by applicable law.

7. Confidentiality

7.1 Protection of Information

We will maintain the confidentiality of information shared by the client, including proprietary business information, project details, and customer data, subject to applicable legal requirements.

7.2 Non-Disclosure Agreement

A separate Non-Disclosure Agreement (NDA) may be signed upon request to provide additional confidentiality protections.

8. Termination

8.1 Grounds for Termination

We reserve the right to terminate services in the event of:

A breach of these terms by the client.
Failure to make payments as agreed.
Misuse of services for illegal or prohibited purposes.

8.2 Effect of Termination

Upon termination, access to applicable services will cease, and any outstanding balances will remain due.

9. Governing Law

These terms are governed by and construed in accordance with applicable laws in the United States. Any disputes arising under these terms will be handled in accordance with the applicable jurisdiction and contractual arrangements.
